A foreign-owned PT in Bali, sharing what it takes to set up, license and run a PT PMA.
Skip the formation work. Mitra already holds its deed, NIB, tax number and five business licences. A share transfer moves it to you.
Foreign-owned, set up in 2024, registered as a large-scale business (Usaha Besar).

Rules change often. Figures here reflect the regulations in force in 2026. Confirm them with a notary before you file.
Every activity needs a five-digit KBLI code. Check each one against the Positive Investment List (Presidential Regulation 10/2021, amended by 49/2021). Some codes cap foreign ownership.
A notary drafts the deed with shareholders, directors, commissioners and capital. The Ministry of Law then registers the company through AHU.
The risk-based OSS system issues the business identification number. Low-risk codes license at once; higher-risk codes need extra permits and approvals.
BKPM Regulation 5/2025 sets paid-up capital at IDR 2.5 billion per company, plus an investment plan per KBLI and location. Open the corporate bank account first.
Activate the company NPWP, then file monthly withholding returns and the annual corporate return by 30 April. Regional taxes apply to villas and restaurants.
The company applies for an RPTKA (foreign worker plan) at the Ministry of Manpower, then immigration issues the director's KITAS.
Register with BPJS Ketenagakerjaan and BPJS Kesehatan. Everyone who works in Indonesia for six months or more, foreigners included, must be enrolled. Remove staff who leave, or contributions keep running.
File the LKPM investment report on OSS each quarter (each semester for small businesses), keep accounts current and hold the annual shareholders' meeting.

Often, yes. The Positive Investment List opens most sectors to full foreign ownership through a PT PMA. Some KBLI codes cap foreign shares or reserve the activity for local businesses, so check each code before filing.
No. Article 33 of Investment Law 25/2007 makes agreements that hold shares on behalf of someone else void by law. The registered shareholder keeps the shares.
Under BKPM Regulation 5/2025, in force since 2 October 2025, the paid-up capital floor is IDR 2.5 billion per company. The investment plan per KBLI and location must also clear the regulation's threshold. Confirm the current figures with your notary before you file.
Yes. Law 24/2011 requires everyone who works in Indonesia for six months or more, foreigners included, to join the social security programmes. The company registers and pays for them.
LKPM is the investment activity report that every licensed business files on OSS. Larger companies report each quarter, smaller ones each semester. It covers investment realised, employees and project progress.
An established company already has its deed, NIB, tax number and licences. A share transfer by notarial deed, updated at AHU and OSS, replaces most of the formation work. You may still need to add KBLI codes or adjust capital for your plans.
